Foundations and spin-offs
The founding of a company presents a founder with numerous challenges. In addition to implementing the necessary formalities, it is particularly important to set the course in terms of content. Especially if you are founding as a team and have to agree on a partnership agreement in which the essential framework conditions of the cooperation and the corporate strategy are to be defined.
We support you in founding your company, intensively discuss with you the possibilities of drafting the contract, existing course settings and variations in terms of content.
A particular focus of our advice is the drafting of articles of association for start-ups and spin-offs in the IT and/or deep-tech sector.
Start-ups, like all companies, need access to capital. Since classic loan-based financing is out of the question for many start-ups, start-ups pursuing a growth and exit strategy in particular are increasingly taking on investors (business angels, institutional sponsors, corporate venture capital or venture capital).
Financing is usually provided through mezzanine capital (silent partnerships or loans with a conversion option) or through open participation, acquisition of shares and payment of a premium (Agios) to the company.
We help develop the financing strategy, advise on the investment process and negotiate the contracts, in particular the investment contracts, for you.

In addition to the corporate law requirements in the course of a start-up, we also help you optimise your choice of legal form for tax purposes. Particularly in the case of exit-driven companies, a tax assessment of the choice of legal form is advisable.
We will be happy to provide you with comparative tax calculations that show you the advantages and disadvantages of different legal forms. This includes the ongoing taxation of the company itself, as well as the personal taxation of the shareholders and the taxation in the event of an exit.
